These Terms of Business govern the relationship between Rio Global Industries, operated by Omnimac Trading FZC (registered in Ras Al Khaimah, United Arab Emirates), and any client submitting an inquiry, CAD files, or a purchase order through this website or by email ("Client").
Rio Global Industries operates as a manufacturing coordination and brokerage service, connecting Clients with a vetted network of certified precision manufacturing partners based in Spain. We manage the sourcing, design-for-manufacturability (DFM) review, quality verification, and logistics coordination for each order. We do not ourselves operate manufacturing facilities; production is carried out by our certified partner network.
All CAD models, drawings, specifications, and related technical information submitted by a Client are treated as strictly confidential. We share such files only with the specific manufacturing partner(s) directly relevant to producing the quoted or ordered parts, and we require those partners to maintain the same standard of confidentiality. We do not use, reproduce, or disclose Client designs for any purpose other than fulfilling the Client's order.
Where a separate, bilateral Non-Disclosure Agreement is executed in writing between the Client and Rio Global Industries or Omnimac Trading FZC, the terms of that signed agreement will take precedence over this Section in the event of any conflict.
Quotations are provided free of charge following submission of CAD files and are typically issued within 24–48 hours. Quotations are valid for the period stated at the time of issue and are subject to confirmation of final specifications, quantities, and material availability. A quotation does not constitute a binding contract until formally accepted in writing by both parties.
Rio Global Industries operates on transparent, milestone-based pricing. Payment terms will be confirmed in writing for each order and are typically structured against agreed production and delivery milestones. Prices are quoted exclusive of applicable taxes, duties, and shipping costs unless explicitly stated otherwise.
Target delivery timeframes are provided in good faith based on current manufacturing partner capacity and are not guaranteed delivery dates unless explicitly confirmed in writing for a specific order. Rio Global Industries is not liable for delays caused by circumstances outside its reasonable control, including but not limited to manufacturing partner capacity constraints, customs delays, or force majeure events.
All parts are subject to dimensional verification and quality inspection in line with the specifications agreed for each order. Any quality concerns must be raised in writing within 14 business days of delivery, and prior to assembly, installation, or alteration of the parts, so that they can be properly investigated with the relevant manufacturing partner. Concerns raised after this window, or after the parts have been assembled or altered, may not be eligible for remedy.
The Client retains full ownership of all intellectual property rights in any designs, drawings, or specifications submitted to Rio Global Industries. Submission of files for quotation or production does not transfer any ownership or licensing rights beyond what is strictly necessary to fulfil the Client's order.
Clients are responsible for ensuring that any parts, technology, or technical data submitted or ordered comply with applicable export control regulations in their own jurisdiction and the jurisdiction of manufacture. Rio Global Industries reserves the right to decline any order that it reasonably believes may violate applicable export control, sanctions, or trade compliance regulations.
To the maximum extent permitted by applicable law, Rio Global Industries' liability in connection with any order is limited to the value of that specific order. We are not liable for indirect, consequential, or incidental damages arising from the use of parts supplied through our network.
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles, unless otherwise agreed in writing for a specific order or client relationship.
